1. Introduction

These are the terms and conditions ("Terms and Conditions") applicable to the services (the "Services") provided on, and the use of, the GoIndustry-DoveBid Site. By accessing the GoIndustry-DoveBid Site, using the Services or by registering as either a buyer or a seller (a "Participant") regardless of your physical location, you agree that: (1) you have read these Terms and Conditions; (2) you understand these Terms and Conditions; and (3) you are bound by these Terms and Conditions in your use of the Services and the GoIndustry-DoveBid Site.

The Services may be provided by GoIndustry-DoveBid, its group companies or Associated Auctioneers, as explained in clauses 15 and 16. The relevant party will be notified to you in the Notice to Purchasers.

The Services provided on the GoIndustry-DoveBid Site enable Participants, amongst other things, to:

(a) place bids in auctions ("Auctions") whether they take place entirely online ("Online Auctions") or live allowing participation by using the Webcast tool ("Webcast Auctions");

(b) make offers on items subject to a sealed bid procedure ("Sealed Bids" or "Tenders");

(c) make offers on items subject to a negotiated sale procedure ("Negotiated Sales"); and

(d) use the GoIndustry-DoveBid platform to offer second hand or surplus industrial equipment ("Classifieds").

These Terms and Conditions refer to Online Auctions, Webcast Auctions, Sealed Bids and Negotiated Sales collectively as "Online Transactions".

These Terms and Conditions do not apply to persons that wish to sell in Online Transactions who should contact GoIndustry-DoveBid to complete a separate off-line process.

These Terms and Conditions, together with any additional terms and conditions specific to a particular Online Transaction (which are incorporated herein by reference and can be found through one or more links in the Notice to Purchasers for the Online Transaction in question), constitute the entire agreement between GoIndustry-DoveBid and the Participant regarding its subject matter and supersede and replace any and all prior or contemporaneous agreements between the parties regarding such subject matter and all other conditions whether express or implied at common law or by statute as are capable of lawful exclusion are hereby excluded. Nothing in this clause shall limit or exclude liability for fraudulent misrepresentation.

The GoIndustry-DoveBid Site, Online Transactions and the Classifieds are only for use by persons acting within their trade or businesses and may not be used by consumers. We refer to any person offering to sell goods through the GoIndustry-DoveBid Site as a "seller" and any person offering to buy goods as a "buyer" regardless of whether any contract of sale is concluded.

2. Participation

(a) Registration

Registration of each buyer is a prerequisite for submitting bids and offers for Online Transactions and in the Classifieds. Similarly, registration of each seller is a prerequisite for submitting sales offers or listing products in the Classifieds. Sellers in Online Transactions must contact us and complete a separate process off-line as these Terms and Conditions do not apply to sellers in Online Transactions.

The Participants' registration form is posted on the GoIndustry-DoveBid Site.

The Participant hereby warrants that all information provided to GoIndustry-DoveBid on registration is true, accurate and complete and the Participant will immediately inform GoIndustry-DoveBid of all changes occurring during the use of the GoIndustry-DoveBid Site.

(b) Eligibility

Only businesses are allowed to use the GoIndustry-DoveBid Site and to participate in Online Transactions and post items in the Classifieds. The Online Transactions and the Classifieds (i) may only be used for commercial transactions; and (ii) may not be used for consumer transactions.

To register as a seller or buyer on the GoIndustry-DoveBid Site you must provide your name, phone number, e-mail address and the name and address of the business you are acting for. GoIndustry-DoveBid reserves the right to reject any registration in its sole discretion.

By registering, the Participant represents, warrants and undertakes that it is or acts for a business and has given correct information about its business and contact details as requested in GoIndustry-DoveBid's registration procedure and that it will notify GoIndustry-DoveBid of any change in its registered details.

(c) Participants' accounts

Participants are assigned an account name and password on registration. The Participants are responsible for all actions taken under their account name and password and shall only use the GoIndustry-DoveBid Site using their own account name and password. Participants must keep their password safe and shall not disclose it to any other person and shall not permit any other person to utilise their account details. Participants are obliged to complete those transactions that occur using their account name and password, whether such transactions are authorised by them or not.

(d) Exclusion of Participants and Rejection or Amendment of Bids and Offers

Without limitation to any other remedies, GoIndustry-DoveBid may exclude any Participant from any Online Transaction or use of the Classifieds and block any registration if the Participant has breached or threatens to breach these Terms and Conditions or engages in any behaviour which GoIndustry-DoveBid in its sole discretion regards as likely to have an adverse effect on the conduct of the Online Transactions, the Classifieds or the reputation of GoIndustry-DoveBid.

Furthermore, GoIndustry-DoveBid reserves the right in its sole discretion to exclude products from offers and to refuse acceptances, bids or offers as well as to discontinue Online Transactions or sales in the Classifieds or its Services altogether at any time and/or from time to time.

3. Data Protection and Corporate Information

GoIndustry-DoveBid shall transmit all information in connection with the registration, the posting of an offer/bid/acceptance and offers/listings of products to the other Participants in any part of the world in the form and to the extent suitable for the execution of an Online Transaction or Classifieds sale. All data produced or transmitted in connection with the execution of the Online Transaction or Classifieds sale at or to GoIndustry-DoveBid may be stored, used and transmitted as described in GoIndustry-DoveBid's Privacy Policy.

Participants undertake that information concerning other Participants and their employees, contractors or agents obtained through the GoIndustry-DoveBid Site shall not be used for sending unsolicited commercial messages or for any other purpose other than participation in Online Transactions and in the Classifieds or use of the GoIndustry-DoveBid Site.

Participants also agree that they will only use such information in accordance with applicable laws and regulations, including, without limitation, data protection and privacy laws.

4. Use of Participant Information on the GoIndustry-DoveBid Site

To enable the GoIndustry-DoveBid Site to use information provided by the Participant, the Participants grant GoIndustry-DoveBid and, where applicable, Associated Auctioneers on registration a non-exclusive, world-wide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) licence to exercise the copyright, trade mark and database rights the Participant has in any information provided and to do so in any media form whether now known or not currently known in order to provide the Services.

5. VAT or other taxes

Any price indicated on the GoIndustry-DoveBid Site or agreed in an Online Transaction or in the Classifieds is stated exclusive of value added tax or any other applicable sales tax.

Buyers in the Classifieds or in Online Transactions shall be responsible for paying any value added tax or other taxes which may be due on amounts owed by the buyers under these Terms and Conditions in the applicable jurisdictions at the rates prevailing at the date that their contract of sale is concluded.

If goods are exported, tax refunds or zero rating may apply. In respect of sales in Online Transactions, tax refunds (if any) will be made by the relevant GoIndustry-DoveBid Group Company or, where applicable, the relevant Associated Auctioneer subject to receipt of (a) satisfactory proof of export by the buyer; (b) the corresponding amount of tax refund from the relevant tax authority or the seller and (c) the relevant tax forms (if applicable).

6. Third Party Rights

A person who is not a party to these Terms and Conditions has no right under the Contracts (Rights of Third Parties) Act 1999 or otherwise to enforce any term of these Terms and Conditions.

7. Indemnities

Each Participant agrees to indemnify and hold GoIndustry-DoveBid, its parent companies, subsidiaries and affiliates and the Associated Auctioneers and their respective officers, directors, agents, partners and employees (the "GoIndustry-DoveBid Parties") harmless from and against any and all losses, demands, claims, damages, costs and expenses (including consequential losses or loss of profit, legal costs and expenses and value added taxes or equivalent or similar taxes thereon) and liabilities suffered or incurred directly or indirectly by the GoIndustry-DoveBid Parties arising from or related to:

(a) the use by the Participant of the GoIndustry-DoveBid Site or the Services;

(b) any breach, non-performance or non-observance by the Participant of the obligations, warranties, representations and undertakings on the part of the Participant contained in these Terms and Conditions (including any Notice to Purchasers incorporated by reference) or contained in the additional terms and conditions applicable to the Online Transaction in question;

(c) the Participant's breach or the Participant causing a breach by any of the GoIndustry-DoveBid Parties of any legislation or law applying anywhere in the world;

(d) any breach of a third party's rights arising out of or in connection with any of the GoIndustry-DoveBid Parties' use of any information or intellectual property in anything provided by the Participant;

(e) any misrepresentation made by the Participant in connection with these Terms and Conditions, in its registration or otherwise in connection with any Online Transaction or the Classifieds; and

(f) accident, injury or death howsoever arising, sustained by any person or persons who may attend at any premises for the purpose of an Online Transaction, inspection, purchase, collection or any other business.

8. Notices

Any notice given under these Terms and Conditions shall be in writing and in English and shall be served by hand delivering it or sending it by prepaid recorded or special delivery post or prepaid international recorded airmail to: Legal Department, GoIndustry Operations Limited, 4th Floor, New London Bridge House, 25 London Bridge Street, London SE1 9BQ, United Kingdom, fax: +44 (0) 20 7098 3795 or to such other address as GoIndustry-DoveBid may notify from time to time. Any such notice shall be deemed to have been received:

(a) if hand delivered or sent by prepaid recorded or special delivery post or prepaid international recorded airmail, at the time of delivery;

(b) if sent by post (other than by prepaid recorded or special delivery post) two days from the date of posting;

(c) if sent by airmail (other than by prepaid international recorded airmail), five days from the date of posting; and

(d) in the case of fax at the time of transmission.

Provided that if deemed receipt occurs before 9.00am on a Business Day the notice shall be deemed to have been received at 9.00am on that day, and if deemed receipt occurs after 5.00pm on a Business Day or on any day that is not a Business Day, the notice shall be deemed to have been received at 9.00am on the next Business Day. For the purpose of this clause, "Business Day" means any day which is not a Saturday and Sunday or a public holiday in London and reference to any time shall be to London time.

For the avoidance of doubt, notice given by Participants to GoIndustry-DoveBid under these Terms and Conditions shall not be validly served if sent by email.

However, notices to Participants by GoIndustry-DoveBid may be sent to the email address provided to GoIndustry-DoveBid during the registration process, receipt of which is deemed 24 hours after an email is sent, unless GoIndustry-DoveBid receives notice that the email address is invalid.

9. Force Majeure

GoIndustry-DoveBid will not be liable for any delay or failure to comply with its obligations under these Terms and Conditions if such delay or failure results from circumstances beyond its control.

10. Use of the GoIndustry-DoveBid Site and Services

GoIndustry-DoveBid grants a limited, non-transferable licence to each Participant to access and make use of the GoIndustry-DoveBid Site for the purposes of the Participant using, or evaluating the GoIndustry-DoveBid Site and the Services in accordance with these Terms and Conditions but not to download (other than page caching) or modify the GoIndustry-DoveBid Site, or any portion of the GoIndustry-DoveBid Site. This licence expressly excludes, without limitation: any resale or commercial use of the GoIndustry-DoveBid Site and the Services; modifying, distributing, copying, republishing or making any derivative use of the GoIndustry-DoveBid Site or the Services; the collection and use of other Participants' e-mail addresses or other information or listing, or any data extraction or data mining whatsoever. Notwithstanding the provisions of this clause, the Participants shall be entitled to download documents and forms including Notices to Purchasers and/or sales brochures for their own internal use.

Participants must not use the GoIndustry-DoveBid Site or Services in any way that causes, or is likely to cause, the GoIndustry-DoveBid Site or Services to be interrupted, damaged or impaired.

Participants agree to comply with all applicable export or import control or related laws or regulations and not to violate any applicable local, state, national or international law, statute, ordinance, rule or regulation. GoIndustry-DoveBid reserves the right to cancel or rescind any sale in an Online Transaction at any time if it determines, in its absolute discretion, that the sale does or may violate applicable export or import control or related laws and regulations.

Participants are responsible for all communications and content sent from their systems to GoIndustry-DoveBid or, where applicable, an Associated Auctioneer and must use the GoIndustry-DoveBid Site for lawful purposes only.

Participants must not use the GoIndustry-DoveBid Site for any of the following:

(a) for fraudulent purposes, or in connection with a criminal offence or other unlawful activity;

(b) to send, use or re-use any material that is illegal, offensive, abusive, indecent, defamatory, obscene or menacing; or in breach of any law or third party rights; or is otherwise injurious to third parties; objectionable; or which consists of or contains software viruses, political campaigning, commercial solicitation, chain letters, mass mailing or spam;

(c) to offer, sell, bid for or buy any items which are illegal or infringe any third party rights (including intellectual property rights); or

(d) to cause annoyance, inconvenience or needless anxiety.

Participants are expressly forbidden from any form of bid manipulation, including collusion or bidding on lots that they themselves or a party affiliated with them are selling in an Auction. Buyers may not bid under a false name or as agent for a person who would itself be prohibited by these Terms and Conditions or by the terms and conditions governing the specific Webcast Auction in question from placing a bid on a particular lot.

GoIndustry-DoveBid does not guarantee continuous, uninterrupted or secure access to the GoIndustry-DoveBid Site. The GoIndustry-DoveBid Site and Services are provided "as is" and "as and when available", and, to the extent permissible by law, GoIndustry-DoveBid excludes all implied warranties, conditions or other terms, whether implied by statute or otherwise, including without limitation any terms as to skill and care or timeliness of performance. GoIndustry-DoveBid may change, modify, amend, suspend or discontinue any aspect of the GoIndustry-DoveBid Site or the Services at any time without notice and GoIndustry-DoveBid reserves the right to impose restrictions on certain features of the GoIndustry-DoveBid Site or the Services at any time without notice.

In case of interruption to or suspension of access to the GoIndustry-DoveBid Site or the Services, the Participants' only remedy will be for GoIndustry-DoveBid, in its absolute discretion, to extend the time limit of an offer in the Classifieds or an Online Transaction for an appropriate period. Participants' access to the GoIndustry-DoveBid Site may be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or Services. GoIndustry-DoveBid will use reasonable endeavours to limit the frequency and duration of any such suspension or restriction.

Participants must take all reasonable steps to minimise loss or damages when accessing the GoIndustry-DoveBid Site, including implementing prudent security and back-up features.

In addition to the other obligations set out in these Terms and Conditions, each buyer acknowledges and agrees that by placing a bid in an Auction ("Bid") or making an offer in another Online Transaction, it represents, warrants and undertakes that it has the authority and capacity to enter such Bid or make such offer and close the transaction and that any Bid that it makes constitutes an irrevocable offer to buy the lot in question for the full amount of the Bid.

11. Liability

GoIndustry-DoveBid shall not be liable, in contract, tort (including negligence) or for breach of statutory duty or in any other way for:

(a) any loss arising from or in connection with loss of revenue, profits, contracts or business or failure to realise anticipated savings or profits;

(b) any loss of goodwill or reputation; or

(c) any indirect or consequential losses suffered or incurred by a Participant,

arising out of or in connection with the use by, or the inability to use of, the Participant of the GoIndustry-DoveBid Site or the Services, or any other matter under these Terms and Conditions.

The aggregate liability of GoIndustry-DoveBid in respect of any other loss or damage suffered by a Participant and arising out of or in connection with these Terms and Conditions or arising out of or in any way connected with the sale or purported sale of any goods on the GoIndustry-DoveBid Site or the use of the Classifieds, whether in contract, tort (including negligence) or for breach of statutory duty or in any other way, shall not exceed the amount of:

(a) in the case of a buyer in an Online Transaction, the amount of the purchase price paid by the buyer in respect of the goods which are the subject of the claim; and

(b) in the case of a Participant in the Classifieds, the fees actually paid by the Participant to GoIndustry-DoveBid pursuant to these Terms and Conditions.

Nothing in this clause shall limit or exclude liability for death or personal injury resulting from the negligence of GoIndustry-DoveBid or its employees or agents.

In any case where an Associated Auctioneer conducts an Online Transaction, neither GoIndustry-DoveBid Operation Limited nor any other member of the GoIndustry-DoveBid plc group of companies ("GoIndustry-DoveBid Group Companies") shall be a party to the Online Transaction and accordingly no GoIndustry-DoveBid Company shall have any obligations nor any liability (whether in contract, tort or otherwise) in any way whatsoever to Participants in relation to such an Online Transaction.

The liability of GoIndustry-DoveBid and an Associated Auctioneer under these Terms and Conditions and the additional terms and conditions applicable to a particular Online Transaction shall be several.

12. Miscellaneous

These Terms and Conditions may be amended at any time by GoIndustry-DoveBid in its sole discretion. Such amendment will be posted on the GoIndustry-DoveBid Site and will become effective immediately. Participants are encouraged periodically to review these Terms and Conditions posted on the GoIndustry-DoveBid Site. Use of the Services and the GoIndustry-DoveBid Site constitutes acceptance of these Terms and Conditions, including any amendments.

Should any single provision of these Terms and Conditions be or become fully or partially invalid, illegal or unenforceable, the remainder of these Terms and Conditions shall continue in full force and effect.

Failure or neglect by GoIndustry-DoveBid to enforce at any time any of the terms hereof will not be construed nor will it be deemed to be a waiver of GoIndustry-DoveBid's rights hereunder nor in any way affect the validity of the whole or any part of these Terms and Conditions nor prejudice GoIndustry-DoveBid's rights to take subsequent action.

Participants shall not without the prior written consent of GoIndustry-DoveBid assign, sub-license or deal in any other manner with these Terms and Conditions or any right under these Terms and Conditions.

Participants and GoIndustry-DoveBid are independent contractors and no agency, partnership, joint venture, employment or franchise relationship is intended or created by these Terms and Conditions.

13. Choice of Law and Venue

ALL DISPUTES RELATING TO THESE TERMS AND CONDITIONS BETWEEN PARTICIPANTS AND GoIndustry-DoveBid SHALL BE EXCLUSIVELY GOVERNED BY AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF ENGLAND.

PARTICIPANTS AND GoIndustry-DoveBid HEREBY IRREVOCABLY SUBMIT TO THE EXCLUSIVE JURISDICTION OF THE ENGLISH COURTS OVER ANY CLAIMS, DISPUTE OR MATTER ARISING UNDER OR IN CONNECTION WITH THESE TERMS AND CONDITIONS OR THEIR ENFORCEABILITY. EACH PARTICIPANT ACKNOWLEDGES THAT GoIndustry-DoveBid WOULD NOT PERMIT THE PARTICIPANT TO REGISTER AS A BUYER OR SELLER IF THE TERMS OF THIS CLAUSE 13 WERE NOT VALID, BINDING AND ENFORCEABLE.

Participants irrevocably consent to any process in any legal action or proceedings arising out of or in connection with these Terms and Conditions or its enforceability being served in accordance with the provisions of these Terms and Conditions relating to the service of notices. Nothing contained in these Terms and Conditions shall affect the right to serve process in any other manner permitted by the laws of the country in which service is to be effected.

If a sale consists of real property in a country outside England and Wales, the Participants, at their own cost, and GoIndustry-DoveBid and/or, where applicable, the Associated Auctioneer agree to do all things and execute all contracting deeds, assignments, instruments, transfers and other documents as may be necessary or desirable to give full effect to the transaction in that country.

These Terms and Conditions are drawn up in the English language. If these Terms and Conditions are translated into another language, the English language text prevails.

14. Termination

GoIndustry-DoveBid may, in its sole discretion, terminate these Terms and Conditions with respect to a Participant (without prejudice to its other rights and remedies) and may deny access to the Services immediately without notice for any breach of these Terms and Conditions by that Participant without any liability for GoIndustry-DoveBid except in case of past transactions already completed.

15. Role of GoIndustry-DoveBid

If you are using the Services as a buyer in an Online Transaction, you are contracting with the relevant GoIndustry-DoveBid Group Company named in the Notice to Purchasers for the relevant Auction, Sealed Bid or Negotiated Sale (the "Notice to Purchasers").

The term "GoIndustry-DoveBid" in these Terms and Conditions shall be construed as meaning:

(a) GoIndustry Operations Limited if using the Services as a Participant in the Classifieds; and

(b) the relevant GoIndustry-DoveBid Group Company named in the Notice to Purchasers if using the Services as a buyer in an Online Transaction.

16. Role of Associated Auctioneers

GoIndustry-DoveBid has entered into arrangements with certain auction companies ("Associated Auctioneers") listed elsewhere on the GoIndustry-DoveBid Site. Under these co-operation arrangements, GoIndustry-DoveBid makes the GoIndustry-DoveBid Site and Services available to Associated Auctioneers to conduct Online Transactions. Accordingly, for the purpose of such Online Transactions, a buyer will be contracting with the Associated Auctioneer named in the Notice to Purchasers, and not GoIndustry-DoveBid, under these Terms and Conditions (as if references to GoIndustry-DoveBid were references to the Associated Auctioneer except where the context requires otherwise) and on the additional terms and conditions applicable to the Online Transaction in question.

B. WEBCAST AUCTIONS TERMS AND CONDITIONS

The following terms apply to Webcast Auctions in addition to our General Terms and Conditions.

1. Registration for Webcast Auctions

GoIndustry-DoveBid and Associated Auctioneers hold live auctions in numerous jurisdictions around the world and different laws and regulations are applicable to each such auction. Accordingly, in addition to registering on the GoIndustry-DoveBid Site, buyers are required to register separately to participate in a live auction via the Webcast (a "Webcast Auction"). Successful registration for one Webcast Auction does not guarantee registration for another Webcast Auction and GoIndustry-DoveBid reserves the right to refuse to register any person for any Webcast Auction.

Each Webcast Auction is also subject to the terms and conditions of the Webcast Registration Agreement for that particular Webcast Auction. Where the terms of the Webcast Registration Agreement conflict with these Terms and Conditions, the Webcast Registration Agreement shall prevail unless specifically stated otherwise.

2. Using Webcast during a live auction

When using Webcast, buyers may place bids on a particular lot on a live or proxy basis. These options are further explained in the Webcast Instructions in the "Support" Section.

GoIndustry-DoveBid cannot and does not guarantee bids placed via Webcast will be transmitted to received by the auctioneer of the Webcast Auction in a timely fashion. In addition, the auctioneer of the Webcast Auction has the sole discretion to accept or refuse any bid.

All bids must be submitted in the currency indicated in the Notice to Purchasers for the lot in question. All bids are exclusive of all applicable taxes, registration fees (if any), shipping, rigging, or other preparation or transportation costs or insurance. Buyers placing winning Webcast bids will be notified by email.

C. CLASSIFIEDS TERMS AND CONDITIONS

The following terms apply to the Classifieds in addition to our General Terms and Conditions.

1. GoIndustry-DoveBid's role in the Classifieds

The Classifieds are different from the Auctions or other Online Transactions. GoIndustry-DoveBid is not an auctioneer and is not involved in the transactions in the Classifieds. Instead, the Classifieds act as a platform which allows Participants to advertise industrial equipment for sale and to make offers to purchase such equipment.

GoIndustry-DoveBid, GoIndustry-DoveBid Group Companies and Associated Auctioneers may participate as sellers in the Classifieds from time to time. When a GoIndustry-DoveBid Group Company or an Associated Auctioneer offers goods in the Classifieds, it will be subject to these Terms and Conditions in the same way as all other Participants.

Other than in relation to an item where GoIndustry-DoveBid is participating as a seller in the Classifieds, GoIndustry-DoveBid has no control over the type, quality, condition, compliance with legal requirements, safety or legality of the sale of the items listed, the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to purchase or pay for items.

Subject to the obligations accepted by GoIndustry-DoveBid under these Terms and Conditions neither GoIndustry-DoveBid nor its employees or agents are responsible for errors of description or for the genuineness or authenticity of any item or listing and no warranty is given by GoIndustry-DoveBid, its employees or agents to the buyers in respect of any item or listing.

GoIndustry-DoveBid is not responsible for ensuring that Participants actually complete a transaction. Participants accept sole responsibility for the legality of their actions under the applicable laws.

2. Restricted Items

Participants must not offer to sell or purchase any items which are illegal or infringe third parties' rights. GoIndustry-DoveBid does not accept any obligation to protect Participants from unsafe items listed for sale in the Classifieds.

3. Listing and Selling

Each seller must ensure that it is legally able to sell each item included in a listing in the Classifieds, and that it is lawful to sell such item to a buyer. Sellers must describe items and all terms of sale in the Classifieds. The information supplied may only include the content relevant to the sale of the item. GoIndustry-DoveBid reserves the right to amend, reject or remove any listing at any time for any reason.

4. Fees

The fee for listing an individual item for 30 days in the GoIndustry-DoveBid Classifieds is £10 (plus VAT). Sellers shall pay any fee due for the use of the Classifieds by credit card on submission of an item for sale through the Classifieds. The fees shall be due at the point of upload and is not refundable if the item remains unsold. Sellers' credit cards will be debited upon payment becoming due. Items will be posted in the Classifieds within two (2) Business Days' of upload. Items which remain unsold after 30 days will be removed from the Classifieds but may be re-submitted on payment of the then current fee. If GoIndustry-DoveBid rejects a listing for any reason, the fee paid on upload will be returned to the seller.

Other than as described above, there is no formal cancellation or refund policy relating to listing items in the Classifieds. If you have any questions in relation to this, please contact: uksales@go-dove.com.

GoIndustry-DoveBid may change applicable fee rates the at any time and any change will become effective ten (10) Business Days after posting of such changes on the GoIndustry-DoveBid Site. We may choose temporarily to change our fees promotional events with immediate effect from posting.

5. Liability

With respect to the Classifieds GoIndustry-DoveBid is only acting as an operator and is therefore neither involved in the relationship between Participants nor liable for any acts, omissions or breaches of duties of or between Participants. Therefore:

(a) GoIndustry-DoveBid shall not be liable for acts or omissions of Participants, their employees, agents or subcontractors.

(b) GoIndustry-DoveBid shall not be liable for the credit-worthiness of the Participants.

(c) The Participants are responsible for reaching mutually agreeable payment terms and conditions. GoIndustry-DoveBid hereby expressly disclaims all responsibility and liability which may arise therefrom.

(d) The Participants agree that it is the seller's responsibility to determine whether value added tax, customs duties, excise taxes or other taxes ("Taxes") apply to the sale of the goods to the buyer and to collect, report and remit the correct Taxes, as applicable, to the appropriate tax authority. Unless otherwise agreed between a seller and GoIndustry-DoveBid in writing, the price stated by any seller for any goods offered in the Classifieds is inclusive of any Taxes that the seller may be required to remit in connection with such sale. GoIndustry-DoveBid is not obliged to determine whether any Taxes apply to any sale of any goods by a seller to a buyer in the Classifieds and is not responsible for collecting, remitting or reporting any Taxes arising from such sale.

(e) GoIndustry-DoveBid does not accept any liability with regard to the publication of the posted Classifieds advertisements, the posting/acceptance of offers/products or the consideration of submitted offers. In addition, GoIndustry-DoveBid shall not be liable for the seller's title to the offered/listed products.

For pricing information the buyer must solely rely on the price in the currency it is originally stated in the seller's offer/listing. Currency conversions are for the convenience of the buyer only. Although the Classifieds rates used for the conversion are updated on a regular basis, GoIndustry-DoveBid does not accept any liability with respect to the correctness and completeness of the data used for the conversion or the conversion itself.
